Terms and Conditions

Welcome to Clientist! These Terms and Conditions ("Terms") govern your use of the Clientist mobile application ("App") provided by Clientist ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the App on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Clientist is a client relationship management (CRM) mobile application designed for:

• Freelancers: Manage projects, clients, invoices, tasks, leads, and documents
• Travel Agents: Track trips, visa applications, payments, client documents, and reminders
• Service Providers: Schedule jobs, manage repeat services, track payments, and handle invoicing

The App helps you organize your business operations, manage client relationships, and streamline your workflow through a mobile-first experience.

3. Account Registration

3.1 Account Creation

To use certain features of the App, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. User Responsibilities

By using the App, you agree to:

• Use the App only for lawful purposes and in accordance with these Terms
• Not use the App in any way that violates any applicable laws or regulations
• Not upload, post, or transmit any content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Not attempt to gain unauthorized access to any part of the App or its systems
• Not interfere with or disrupt the integrity or performance of the App
• Ensure that any client data you store complies with applicable data protection laws

5. Subscription Plans and Payment

5.1 Free Tier

The Free tier includes:

• Up to 5 clients
• Local file storage on your device
• Single device access
• Basic invoicing features
• Core task management

5.2 Premium Subscription

The Premium subscription ($5/month) includes:

• Unlimited clients
• Cloud file storage and backup
• Multi-device synchronization
• Advanced invoicing with PDF export history
• Priority data sync
• Premium customer support

5.3 Billing and Payment

• Subscriptions are billed monthly through Apple App Store or Google Play Store
• Payment will be charged to your app store account upon confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel your subscription through your app store account settings

5.4 Refunds

Refund requests are handled according to the policies of Apple App Store or Google Play Store. We do not directly process refunds. Please contact the respective app store for refund requests.

6. Intellectual Property

6.1 Our Property

The App, including its design, features, functionality, text, graphics, logos, and all other content, is owned by Clientist and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our App without our written permission.

6.2 Your Content

You retain ownership of any data and content you create or upload to the App ("Your Content"). By using the App, you grant us a limited license to store, process, and display Your Content solely to provide the App services to you.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers and Limitations

8.1 "As Is" Service

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or alteration of your data
• Any third-party conduct or content on the App
• Any interruption or cessation of service

8.3 Maximum Liability

In no event shall our total liability to you exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Clientist and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or data you store in the App

10. Termination

10.1 By You

You may terminate your account at any time by deleting your account through the App settings. Upon termination, your right to use the App will immediately cease.

10.2 By Us

We may suspend or terminate your account and access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms will immediately terminate. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date and, where appropriate, providing additional notice within the App. Your continued use of the App after such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Clientist operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Clientist regarding the use of the App and supersede all prior agreements and understandings.

15. Waiver

The failure of Clientist to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
